Terms of Use

These Terms of Use (“ToU”) govern end-user (non-entity) access to Apeironix Services via the Platform. By accessing/using Services, you accept ToU and the MSA (incorporated for entities). “You” means the individual user; if on behalf of an entity, you bind it. Minors prohibited (18+ only). Apeironix competitors banned without consent.

1. Acceptance and Changes.

ToU effective on access/use. Apeironix may update with notice (site/email); continued use = acceptance. Discontinue if disagree. Services modifiable anytime.

2. Privacy Policy.

See Privacy Policy for data handling. You consent to processing per ToU/MSA.

3. Your Account.

In order to access certain features and functionality of the Services, you must establish an account with us (an “Account”). You are not permitted to share, sell, distribute, or otherwise transfer your Account or allow your login credentials to be used by any other individual. You shall maintain the security and confidentiality of your login credentials used to access your Account. You shall choose a strong and secure password that you shall keep secure and confidential. You shall promptly notify Apeironix at legal@apeironix.com in the event you believe your login credentials have been compromised or there has been unauthorized use of your Account. You are solely responsible for any activities or actions taken under your Account, including as a result of the unauthorized use of your Account. Apeironix is not liable for any loss you incur as a result of your failure to comply with this section.

4. Permitted Use and Restrictions

Use Services only for authorized internal business per MSA. Prohibited:
(a) illegal/harmful content;
(b) viruses/interference;
(c) reverse-engineering;
(d) unauthorized access/sharing;
(e) spam/surveys;
(f) competing development;
(g) Prohibited Data;
(h) monitoring availability, performance, or functionality, or any benchmarking/competitive purposes.

Comply with Laws/Documentation. Protect Apeironix Data; report incidents to legal@apeironix.com. The Services may include links to third-party websites, services, or features not owned or controlled by Apeironix. Your use of such third-party services, links, or features is at your own risk and subject to those providers’ terms. Apeironix is not responsible for the availability, content, or performance of third-party services, links, or features, and does not endorse or warrant them.

5. Subscription and Payments.

Fees per MSA/Order Form (annual, auto-renew; 60 days’ cancel notice). Automatic billing; late fees 2%. Opt-in Purchases non-refundable; no resale. Updates with notice.

6. Intellectual Property.

Apeironix owns the Platform and all Apeironix Content (including software, text, graphics, images, trademarks, service marks, logos, and other intellectual property, excluding your Customer Content). Subject to payment of applicable Fees, Apeironix grants you a personal, non-sublicensable, non-transferable, non-exclusive, and revocable license to use the Services solely for permitted internal business purposes per MSA. No modifications or other rights granted. You must report any suspected intellectual property infringements to legal@apeironix.com.

Copyright Infringement Notification & Digital Millennium Copyright Act. Apeironix complies with the Digital Millennium Copyright Act (DMCA). If you believe any content in the Services infringes your copyrights, you may send a written notice to our designated agent at legal@apeironix.com, including:
(a) your physical or electronic signature;
(b) identification of the copyrighted work claimed to be infringed;
(c) identification of the material claimed to be infringing, with sufficient detail to locate it;
(d) your contact information (address, phone, email);
(e) a statement of good-faith belief that the use is not authorized; and
(f) a statement under penalty of perjury that the information is accurate and you are authorized to act.

Apeironix may remove allegedly infringing content and notify the submitter, allowing counter-notification per DMCA procedures. Accounts of repeat infringers may be terminated.

7. Representations and Warranties

You represent, warrant, and covenant that:
(a) you have the right and authority to enter into these ToU;
(b) if using the Services on behalf of an employer or company, you have authority to bind such entity;
(c) you have all rights and permissions necessary (including intellectual property rights) to lawfully submit Customer Content to Apeironix;
(d) you have the right to provide access to devices, browsers, or accounts used with the Services;
(e) all Customer Content is obtained and shared in compliance with Applicable Laws, including necessary notices/consents; and
(f) you will ensure Customer Content is accurate, complete, and up-to-date.

8. Disclaimers and Liability.

Services “AS IS” per MSA Sections 8/9. NO WARRANTIES OF MERCHANTABILITY, FITNESS, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, SECURITY, OR ERROR-FREE OPERATION. Liability capped at $100 (or 12 months’ fees for entities); no indirect, consequential, special, punitive, or incidental damages.

9. Termination.

Apeironix may terminate access for breach (no refund except prorated per MSA). You may stop use. Post-termination: destroy Apeironix Content; certify on request.

10. Arbitration and Governing Law.

See MSA Section 13.4 (mandatory arbitration, class waiver). The internal substantive laws of the State of Nevada, without respect to its conflict of laws provisions, govern these ToU. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts in Washoe County, Nevada, excluding Disputes subject to MSA Section 13.4.

NOTICE OF BINDING ARBITRATION AND WAIVER OF CLASS ACTION: THESE TERMS INCLUDE A MANDATORY BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER, WHICH LIMIT YOUR RIGHTS IN THE EVENT OF A DISPUTE RELATED TO THE SERVICES. PLEASE REFER TO MSA SECTION 13.4 FOR MORE INFORMATION.

11. Miscellaneous

(a) Entire Agreement. Except as expressly agreed in writing by Apeironix, these ToU and the MSA constitute the entire agreement between the parties with respect to the subject matter, superseding all prior or contemporaneous agreements, whether written or oral. For subscribing Customers, the MSA controls in case of conflict.
(b) Severability. If any provision of these ToU is found invalid by a court of competent jurisdiction, the invalidity shall not affect the remaining provisions, which remain in full force and effect.
(c) No Waiver. Failure by Apeironix to enforce any provision shall not constitute a waiver of that provision or any other. No waiver is effective unless in writing.
(d) Headings. Headings are for convenience and have no legal import. References to Apeironix include its affiliates, subsidiaries, officers, directors, employees, agents, suppliers, and licensors.
(e) Assignment. These ToU inure to the benefit of Apeironix’s successors, assigns, licensees, and sublicensees. Apeironix may assign its rights or obligations without your consent. You may not assign or transfer any rights or obligations under these ToU (or your Account) without Apeironix’s consent, and any such attempt is void.
(f) No Third-Party Beneficiary. These ToU do not create any third-party beneficiary rights.
(g) Survival. Provisions relating to limitation of liability, indemnification, venue, choice of law, intellectual property, confidentiality, and others that by their nature should survive, will survive termination.
(h) Force Majeure, Export Compliance, Anti-Bribery. Per MSA Sections 13.16–13.18.

12. Electronic Notices and Communications.

You consent to receive any agreements, notices, disclosures, and other communications (collectively, “Notices”) from Apeironix electronically, including via email or by posting on the Platform or website. You agree that all Notices we provide to you electronically satisfy any legal requirement that such communications be in writing. You are responsible for maintaining a valid email address and ensuring delivery of Notices. Unless otherwise specified, Notices will be deemed given when sent by email or posted online. You may update your contact preferences in your Account settings or by contacting us at legal@apeironix.com.

13. No Agency or Employment Relationship.

Nothing in these ToU creates any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and Apeironix. You are not authorized to act on behalf of Apeironix or bind Apeironix to any obligation.
