Apeironix Inc. Referral Program Terms and Conditions

1. Introduction.

Welcome to the Apeironix Referral Program (“Program”). By participating, you agree to comply with these Terms and Conditions (“Terms”), the Apeironix Terms of Use, and Apeironix Privacy Policy. Please read them carefully before engaging in the Program.

2. Eligibility.

Participants (“Referrers”) must be current Apeironix customers who are at least 18 years old. Employees of Apeironix and their immediate family members are not eligible to participate.

3. Referral Submission.

To refer a potential client (“Referral”):
a. Complete the referral form with accurate and complete information about the Referral, including their name, business email, and company name; and
b. Ensure that the Referral is a decision-maker in insurance operations, such as a VP, Director, or executive in brokerage, agency, or carrier roles.

4. Referral Qualification

A Referral is considered “Qualified” if:
a. They schedule and attend a demo with the Apeironix sales team;
b. They are not an existing customer or already in contact with Apeironix; and
c. They meet the target criteria specified by Apeironix, including becoming a paying customer through our sales team.

5. Rewards.

Referrers are eligible for the following rewards:
a. $1,000 Admin Credit: Awarded for each Qualified Referral that becomes a paying customer, applied as a credit off the Referrer’s next renewal.

6. Reward Distribution.

Admin credits will be applied to the Referrer’s account within 30 days of the Referral’s qualification and deal closure. Apeironix reserves the right to adjust credit application based on availability or subscription status.

7. Program Limits.

Referrals payouts are limited to 12 per 12-month period per Referrer.

8. Confidentiality.

Referrers must maintain the confidentiality of all information provided by Apeironix and the Referral, using it solely for Program participation purposes.

9. Compliance with Laws.

Participants are responsible for complying with all applicable local, state, federal, and Canadian laws, including data protection laws (e.g., CCPA, PIPEDA), when participating in the Program. Any taxes, levies, or fees associated with receiving rewards are the sole responsibility of the Referrer. Apeironix is not responsible for withholding or remitting any taxes on behalf of Referrers. If total rewards received by a Referrer exceed $600 in a calendar year, Apeironix may require a completed W-9 form for U.S. residents and issue a 1099-NEC for tax reporting purposes.

10. Electronic Notices and Communications.

You consent to receive any agreements, notices, disclosures, and other communications (collectively, “Notices”) from Apeironix electronically, including via email or by posting on the Platform or website. You agree that all Notices we provide to you electronically satisfy any legal requirement that such communications be in writing. You are responsible for maintaining a valid email address and ensuring delivery of Notices. Unless otherwise specified, Notices will be deemed given when sent by email or posted online.

11. No Agency or Employment Relationship.

Nothing in these Terms creates any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and Apeironix. You are not authorized to act on behalf of Apeironix or bind Apeironix to any obligation.

13. Termination and Modification.

Apeironix reserves the right to modify or terminate the Program or these Terms at any time without prior notice. Changes will be effective upon posting on the Apeironix website.

14. Limitation of Liability.

Apeironix is not responsible for any damages or losses arising from participation in the Program or the use of rewards.

15. Governing Law.

These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

By participating in the Apeironix Referral Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
